Welcome to varikode.com. These Terms & Conditions ("Terms") govern your use of our website and any services provided by Varikode Technology ("Varikode," "we," "us," or "our"). By using our website, submitting an inquiry, or engaging us for services, you agree to be bound by these Terms.

1. Overview

Varikode Technology is an eCommerce and web development agency providing Shopify, WordPress, Webflow, and Wix development, SEO, UI/UX design, and custom software development services. We may revise these Terms from time to time; continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.

2. Our Services

Services are engaged on a project-by-project basis and governed by a separate Scope of Work (SOW) or proposal agreed with each client, which sets out the specific deliverables, timeline, and pricing for that engagement. Where these Terms and a signed SOW conflict on project-specific matters, the SOW governs.

We offer the following standard engagement models:

  • Hourly — billed at an agreed hourly rate, with a minimum block of hours purchased upfront; hours are drawn down as work is requested.

  • Fixed Cost — quoted per project based on scope; 50% due as an advance, with the remaining 50% due once the work is delivered/live.

  • Monthly Subscription — a fixed monthly work capacity across development, design, UI/UX, and SEO, planned together each month.

All engagement models include a limited post-launch warranty period (see Section 8).

3. Website Use

All content on this website — including text, graphics, logos, and portfolio material — is the property of Varikode Technology or used with permission, and is protected by applicable intellectual property laws. You may view and use this content for personal, non-commercial reference only. You may not copy, reproduce, or repurpose our website content, portfolio case studies, or branding without our written consent.

Our website may link to third-party sites for reference or portfolio purposes; we are not responsible for the content or practices of those sites.

4. Client Responsibilities

To keep a project on schedule, clients are expected to:

  • Provide required access (e.g., store/admin/hosting credentials), branding assets, and content in a timely manner

  • Review deliverables and milestones within a reasonable time (typically 3 business days) and provide clear feedback

  • Approve designs before development begins, and provide final content before launch

  • Ensure any third-party paid apps or services needed for the project are purchased/licensed by the client, unless otherwise agreed

Delays in providing access, feedback, or content may affect the project timeline.

5. Change Requests

Any work requested outside the agreed Scope of Work is treated as a Change Request. We will provide the client with the timeline impact, additional cost, and a revised schedule before proceeding — work on a Change Request begins only after written approval.

6. Intellectual Property

Upon full and final payment for a project, the custom-developed code and deliverables created specifically for that project become the property of the client. Varikode retains ownership of its own reusable internal frameworks, utilities, code snippets, and methodologies used in delivering the work, and may reuse these across other client projects.

7. Confidentiality

Both parties agree to keep confidential any business information, credentials, documentation, pricing, and proprietary materials shared during the course of an engagement, and not to disclose them to third parties except as required by law.

8. Post-Launch Support & Warranty

Projects include a limited warranty period (standard: 15 days) following go-live, covering bugs, development defects, and layout issues arising from our work. This warranty does not cover new features, design changes, third-party app configuration, or new content uploads — these are treated as new scope and quoted separately.

9. Limitation of Liability

To the maximum extent permitted by law, Varikode's total liability for any claim arising from our services is limited to the amount paid by the client for the specific project giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including loss of revenue, data, or business opportunity. PageSpeed scores, search rankings, and similar performance outcomes are influenced by factors outside our control (third-party apps, hosting, algorithm changes) and are not guaranteed.

10. Indemnification

You agree to indemnify and hold Varikode harmless from any claims, damages, or expenses arising from your misuse of our website, breach of these Terms, or the content/materials you provide to us for a project.

11. Privacy

Our collection and use of personal information is described in our separate [Privacy Policy], which is incorporated into these Terms by reference.

12. Cancellation & Termination

If a project is paused for 30 or more days due to client inactivity (e.g., no response, no content, no access provided), Varikode may revise the delivery schedule and quotation to reflect the delay. Either party may terminate an engagement in accordance with the terms set out in the relevant SOW; amounts due for work already completed remain payable.

13. Agreement to Be Bound

By using our website, submitting an inquiry, or engaging our services, you acknowledge that you have read, understood, and agree to these Terms.

14. General

  • Force majeure: We are not liable for delays or failures caused by events beyond our reasonable control.

  • Entire agreement: These Terms, together with any signed SOW, constitute the entire agreement between the parties regarding the subject matter.

  • Governing law: These Terms are governed by the laws of India, and any disputes are subject to the exclusive jurisdiction of the courts of Lucknow, Uttar Pradesh.

15. Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. Varikode may assign these Terms in connection with a merger, acquisition, or sale of assets.
